These Terms of Service ("Agreement") set out the terms and conditions upon which you may use the Cyrus service made available by Ceedar AI Inc. through atcyrus.com.
By signing up to or using the Cyrus Service, you agree to and accept these Terms of Service. Please read these Terms of Service carefully before using the Cyrus Service. If you have any questions, please contact us at legal@atcyrus.com.
IF YOU DO NOT ACCEPT THESE TERMS OF SERVICE, PLEASE DO NOT USE THE CYRUS SERVICE.
1.1. The Cyrus Service is provided by Ceedar AI Inc. ("Ceedar", "we", "us", or "our"), a company incorporated in Canada.
1.2. Cyrus is an AI development agent powered by Claude Code that integrates with Linear and GitHub to automate development workflows. Cyrus transforms Linear issues into production-ready code by processing assigned tasks in isolated environments and creating pull requests.
In these Terms of Service, the following terms have the following meanings:
"Account" means the Customer's account on the Cyrus Service;
"Agreement" means the agreement between the Customer and Ceedar for the provision of the Cyrus Service comprising these Terms of Service and any terms in the applicable Service Plan;
"Authorized User" means any person authorized by the Customer to access the Cyrus Service on behalf of the Customer;
"Billing Period" means the billing period for the Service Fees as set out in the applicable Service Plan;
"Commencement Date" means the date the Customer creates an Account;
"Confidential Information" means information which is identified as confidential or proprietary by either party or by the nature of which is clearly confidential or proprietary;
"Customer" means the person or organization identified as the "Customer" in the Account;
"Customer Code" means any source code, repositories, and related files that Cyrus accesses through GitHub integration;
"Customer Data" means any content or data transferred to Ceedar as a result of the Customer's use of the Cyrus Service, including Linear issues, GitHub repositories, and associated metadata;
"Cyrus Service" means the AI development agent service made available by Ceedar, including the hosted service and self-hosted options;
"Initial Term" means the subscription period set out in the applicable Service Plan, or in the absence of any such period, one (1) month commencing on the Commencement Date;
"Intellectual Property Rights" means copyright, database rights, domain names, patents, registered and unregistered design rights, registered and unregistered trademarks, and all other industrial, commercial, or intellectual property rights;
"Renewal Term" means the period of time described in the applicable Service Plan, or in the absence of any such description, a period equal to the Initial Term;
"Service Fees" means the fees payable in respect of the provision of the Cyrus Service according to the applicable Service Plan;
"Service Plan" means the service plan relating to the Cyrus Service which sets out the applicable Service Fees, usage limits, and Term;
"Term" means the Initial Term and successive Renewal Terms;
"Third-Party Services" means external services that Cyrus integrates with, including but not limited to Linear, GitHub, and Anthropic (Claude Code);
"User" means any person authorized by the Customer to access the Cyrus Service.
3.1. To use the Cyrus Service, you must first register and create an Account by connecting your Linear workspace and GitHub account through OAuth authentication.
3.2. If you are creating an Account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3.3. You must promptly update your Account information if any changes occur.
3.4. We reserve the right to suspend or terminate your Account if any information provided proves to be inaccurate or incomplete.
3.5. All Users of the Cyrus Service must be at least 18 years old.
4.1. This Agreement shall start on the Commencement Date and continue for the Term unless terminated earlier in accordance with these Terms.
5.1. Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable, and non-sublicensable license to use the Cyrus Service as permitted by its functionality.
5.2. You must treat any login credentials and API keys as Confidential Information and not disclose them to unauthorized parties.
5.3. You are responsible for maintaining the confidentiality of credentials for your Account and for all activities that occur under your Account.
5.4. You must take reasonable precautions to prevent unauthorized access to the Cyrus Service and promptly notify us of any unauthorized access.
5.5. We are continuously improving the Cyrus Service. You agree that the Service may change from time to time, and no warranty is given regarding the continuity of any specific functionality.
5.6. You may change to a different Service Plan at any time using the functionality within the Cyrus Service. Downgrades take effect at the end of the current Billing Period.
6.1. Cyrus operates by connecting to your Linear workspace and GitHub repositories through secure OAuth integrations.
6.2. When you assign a Linear issue to Cyrus, the Service will:
6.3. By using Cyrus, you authorize us and our AI service providers to access and process your Linear issues, GitHub code, and related data as necessary to provide the Service.
6.4. You acknowledge that Cyrus uses Anthropic's Claude Code to generate solutions, and such use is subject to Anthropic's terms of service and acceptable use policies.
7.1. Cyrus may be deployed on your own infrastructure ("Self-Hosted Deployment") as an alternative to the hosted service.
7.2. We do not guarantee that the Cyrus Service will be compatible with your specific infrastructure or environment.
7.3. For Self-Hosted Deployments, you are solely responsible for:

8.1. The Cyrus Service integrates with Third-Party Services including Linear, GitHub, and Anthropic. Your use of these services is subject to their respective terms and conditions.
8.2. We are not responsible for any loss or damage arising from your use of Third-Party Services, except where such loss results from our negligence.

9.3. Violation of these obligations may result in immediate suspension or termination of your Account.
10.1. We own or license all Intellectual Property Rights in the Cyrus Service, excluding Customer Code and Customer Data.
10.2. You retain all rights to your Customer Code and Customer Data. You grant us a limited license to access and process your Customer Code and Customer Data solely as necessary to provide the Cyrus Service.
10.3. Code generated by Cyrus belongs to you, subject to any applicable open-source licenses that may apply to dependencies or referenced code.
10.4. We may collect anonymized, aggregated usage data to improve the Service. This data will not identify you or contain your proprietary code.
11.1. Our collection and use of personal information is governed by our Privacy Policy.
11.2. If your Customer Data contains personal data, we will process such data in accordance with our Data Processing Agreement, which is incorporated by reference.
11.3. You are responsible for ensuring you have appropriate rights and consents to process any personal data included in your Customer Data.
12.1. Each party will keep the other's Confidential Information confidential and not disclose it except as necessary to perform obligations under this Agreement.

13.1. You will pay the Service Fees in accordance with your Service Plan and Billing Period.
13.2. All Service Fees are non-refundable unless otherwise specified.
13.3. Delinquent Accounts. Ceedar may suspend or terminate access to the Service, including fee-based portions of the Service, for any account for which any amount is due but unpaid. In addition to the amount due for the Service, a delinquent account will be charged with fees or charges that are incidental to any chargeback or collection of any unpaid amount, including collection fees. If your payment method is no longer valid at the time a renewal Subscription Fee is due, then Ceedar reserves the right to delete your account and any information associated with your account without any liability to you.
13.4. All fees are exclusive of applicable taxes, which you are responsible for paying.
13.5. We may modify Service Fees upon 30 days' written notice, with changes taking effect at the start of your next Billing Period.
13.6. Payment Processing. To facilitate payment for the Service via bank account, credit card, or debit card, we use Stripe, Inc. and its affiliates ("Stripe"), a third-party payment processor. These payment processing services are provided by Stripe and are subject to the Stripe terms and conditions and other policies available at https://stripe.com/legal and Stripe's Global Privacy Policy available at https://stripe.com/privacy (collectively, the "Stripe Agreements"). By agreeing to these Terms, users that use the payment functions of the Service also agree to be bound by the Stripe Agreements, as the same may be modified by Stripe from time to time. You hereby authorize Stripe to store and continue billing your specified payment method even after such payment method has expired, to avoid interruptions in payment for your use of the Service. Please contact Stripe for more information. Ceedar assumes no liability or responsibility for any payments you make through the Service.
13.7. Subscription Service. The Service may include certain subscription-based plans with automatically recurring payments for periodic charges ("Subscription Service"). The "Subscription Billing Date" is the date when you purchase your first subscription to the Service. The Subscription Service will begin on the Subscription Billing Date and continue for the subscription period that you select on your account (such period, the "Initial Subscription Period"), and will automatically renew for successive periods of the same duration as the Initial Subscription Period (the Initial Subscription Period and each such renewal period, each a "Subscription Period") unless you cancel the Subscription Service or we terminate it. If you activate a Subscription Service, then you authorize Ceedar or its third-party payment processors to periodically charge, on a going-forward basis and until cancellation of the Subscription Service, all accrued sums on or before the payment due date. Information on the recurring fee charged by Ceedar for access to the Subscription Service during each Subscription Period ("Subscription Fee"), is available on our Pricing Page, or otherwise described in the Service. Your account will be charged automatically on the Subscription Billing Date and thereafter on the renewal date of your Subscription Service for all applicable fees and taxes for the next Subscription Period. You must cancel your Subscription Service at least 24 hours before it renews in order to avoid billing of the next periodic Subscription Fee to your account. Ceedar or its third-party payment processor will bill the periodic Subscription Fee to the payment method associated with your account or that you otherwise provide to us. You may cancel the Subscription Service by using the cancellation functionality made available in your account settings or by contacting us at support@atcyrus.com. YOUR CANCELLATION MUST BE RECEIVED BEFORE THE RENEWAL DATE IN ORDER TO AVOID CHARGE FOR THE NEXT SUBSCRIPTION PERIOD.
14.1. For paid Service Plans, we will use commercially reasonable efforts to maintain 99% uptime for the hosted Cyrus Service, excluding:

14.3. We are not responsible for interruptions caused by Third-Party Services or your infrastructure.
15.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CYRUS SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
15.2. WE DO NOT WARRANT THAT:
15.3. IN NO EVENT SHALL WE BE LIABLE FOR:
15.4. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR $100 FOR FREE PLANS.
15.5. Nothing in this Agreement excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
16.1. You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

18.1. We may update these Terms from time to time. The current version will always be available at /legal/terms.
18.2. We will provide reasonable notice of material changes via email or through the Service.
18.3. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
19.1. Governing Law. This Agreement is governed by the laws of British Columbia, Canada, and the federal laws of Canada applicable therein.
19.2. Dispute Resolution. Any disputes shall be resolved through binding arbitration in Victoria, British Columbia, under the rules of the British Columbia International Commercial Arbitration Centre, except that either party may seek injunctive relief in court.
19.3. Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the Cyrus Service and supersedes all prior agreements.
19.4. Severability. If any provision is found unenforceable, the remaining provisions continue in effect.
19.5. Assignment. You may not assign this Agreement without our written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
19.6. Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
19.7. Notices. Notices to us should be sent to legal@atcyrus.com. We may send notices to the email address associated with your Account.
19.8. Force Majeure. Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
